CLIENT TERMS AND CONDITIONS

Informa Hospitality Group (IHG) is a division of Informa Expo Ltd.

These terms and conditions incorporate Event Specific Ticket Terms – please read all terms and conditions carefully before making a booking.

(A) F1 Grand Prix – the Ticket Terms and Conditions can be found and are hereby incorporated into the Booking Client’s purchase of Hospitality Package(s) for the F1 Grand Prix;

(B) Wimbledon – the terms and conditions applicable to the Booking Client’s purchase of Hospitality Package(s) for Wimbledon are available on request;

(C) Lords – the terms and conditions applicable to the Booking Client’s purchase of Hospitality Package(s) for Lords are available on request;

(D) Twickenham (rugby events) – the Ticket Terms and Venue Ground rules are available .

 

Contents: The Agreement An agreement shall be deemed to be made under these Terms and Conditions (“Terms”) set out herein between IHG and the person purchasing the Hospitality Package (the “Booking Client”) when the Booking Client has signed the relevant Booking Form and the Booking Client receives confirmation from IHG by way of an invoice. Both the Booking Client and its Guests shall act in compliance with, and be legally bound by, these Terms at all times and the Booking Client shall bring these Terms promptly to the attention of any such Guests for this purpose. These Terms incorporate: (i) any terms and conditions required by the Promoter and/or Venue (including any Event Specific Ticket Terms); and (ii) any other additional terms and conditions that may be included in a Booking Form and/or Invoice. All such additional terms (including Promoter, Venue, Event Specific Ticket terms) are available on request from IHG. In the event of any inconsistency between any such additional terms, the following order of precedence shall apply: Promoter’s terms and conditions (including any Event Specific Ticket Terms); Venue terms, conditions and ground rules; Invoice terms and conditions; Booking Form terms and conditions; these Terms. All other terms and conditions which the Booking Client purports to apply, including, without limitation under (or which accompany or are referred to in) any purchase order, confirmation of order or any other document, are hereby expressly excluded. Any typographical, clerical or other error or omission in any sales literature, quotation, price list, acceptance of offer, invoice or other document or information issued by IHG shall be subject to correction without any liability on the part of IHG.

Payment and Purchase of Hospitality Packages

The Hospitality Packages are subject to the addition of Value Added Tax and all other applicable taxes at the current rate (if applicable). Unless otherwise agreed in writing, all invoices for the Deposit and the Fees must be paid within 7 days of the date of the invoice. If an Event is scheduled for less than 7 days, payment is due in full immediately on the issue of the invoice. Any payment terms set out on an invoice shall take precedence over these Terms. If the Booking Client defaults on any payment of the Hospitality Package(s), including any late payment, IHG reserves the right to cancel the Hospitality Package(s) and the Hospitality Package(s) may be resold by IHG. Any late payments may incur a late payment fee and/or be subject to interest, chargeable at a daily rate of three percent (3%) above the base rate for each day that any invoice remains unpaid. If IHG is required to cancel a Hospitality Package pursuant to clause 2.4, IHG shall not be required to refund any Deposit or any of the Fees and if any of the Fees remain outstanding, the Booking Client shall be required to pay any outstanding Fees to IHG. IHG will use all reasonable endeavours to adhere to the advertised Hospitality Package, though any component part of the Hospitality Package including, but not limited to, timings, dates, prices and arrangements may be altered, omitted or amended by IHG at its total discretion, and at any time. Should IHG materially alter, omit or amend the advertised package (pursuant to clause 2.6 of these Terms) so that such Hospitality Package is materially different from that advertised, the Booking Client shall be entitled to cancel the Hospitality Package. In such circumstances, the Booking Client shall accept a refund of the monies paid to IHG (less any applicable booking and/or administration fees) as full and final settlement of the cancelled Hospitality Package. This clause shall not apply to any postponement or cancellation of any relevant Event. When an amendment or change requires the payment to IHG by the Booking Client of a sum greater than that originally shown in the advertised package the difference must be paid before the Tickets are issued to the Booking Client. The Booking Client acknowledges that the Promoter and/or Venue may set the Ticket pricing and that, in such circumstances, IHG has no control over the pricing of Tickets and that any description of the position of seats is that of the Promoter or the Venue. IHG, Venue and/or Promoter reserve the right to provide alternative seats at an Event to those specified on the Ticket if the staging of the Event reasonably requires, provided that they are of the same or greater value than stated on the Ticket. The Booking Client acknowledges that IHG has no control over the Event and gives no warranty or representation that the Event shall take place on a specific date, specific time or that any other specific requirements shall be met including, if a sporting event, the identity of the players. All Hospitality Package offered are subject to availability. IHG will not be responsible or obliged to replace any lost, stolen or damaged Tickets. The Booking Client acknowledges that (i) it is in the Venue or the Promoter’s discretion as to whether to issue duplicate Tickets; and (ii) IHG reserves the right to charge an administration fee (the cost of which may be outside of IHG’s control) for printing duplicate Tickets. The Booking Client shall be responsible for (i) checking of all Tickets on delivery; and (ii) the onward delivery and/or distribution of Tickets to its Guests. If there is price increase to the Hospitality Package (outside of IHG’s control, including currency fluctuations, changes in duties and taxes), IHG reserves the right to increase the price of the Hospitality Package commensurate to the price change to IHG. IHG shall provide written notice to the Booking Client of such price change and, if the Booking Client rationally deems such price increase unreasonable, the Booking Client shall be entitled to cancel the Hospitality Package, provided such cancellation is received in writing by IHG within 7 days of notification to the Booking Client of such price increase and, subject to the Promoter and/or Venue refunding the relevant Fees to IHG, the Booking Client may be entitled to a refund of the Fees.

Delivery of Tickets

Tickets will only be issued to the Booking Client, on receipt by IHG of all Fees, charges and costs in cleared funds from the Booking Client for each Hospitality Package purchased by the Booking Client. IHG will endeavour to send the Tickets and information about the Event, to the Booking Client no later than 1 week prior to the Event. However, any timings are approximate and IHG shall not be obliged to comply with such timings. Time for delivery is not of the essence and any quoted delivery dates are approximate and for guidance only. IHG shall not be liable for any delay in delivery of the Tickets however caused. Delivery of the Tickets shall be deemed to be made the earlier of (i) collection of the Tickets by the Booking Client from IHG; or (ii) delivery of the Tickets by IHG to a third party carrier for delivery to the Booking Client. IHG reserves the right to charge the Booking Client a delivery charge on all Tickets. Due to proximity of the Event or for any other reason at IHG’s option, Tickets may be collected by the Booking Client at a Venue box office and the Booking Client will be notified using the details provided on the relevant Booking Form.

Extras

If the Booking Client requests additional services and/or goods outside of the cost of the Hospitality Package, the Booking Client shall be required to pay for such extras within 7 days of the date of the invoice, or where an Event is less than 7 days, immediately using an authorised credit card. Unless otherwise specified in writing by IHG or expressly set out in a Hospitality Package, the Booking Client shall be responsible for any costs and expenses it incurs under or in connection with its Agreement with IHG (including but not limited to travel and accommodation costs).

Cancellation

Subject to clauses 5.2 and 5.3, IHG shall not be liable to give any refund in the event of the Event being cancelled or postponed. If an Event is postponed, provided that (i) the rescheduled event takes place at the same Venue; and/or (ii) with materially the same configuration; and (iii) the Venue and/or Promoter declare that the Hospitality Packages shall be valid for the rescheduled event, the Booking Client’s Hospitality Package shall be valid for the rescheduled event and no refunds of any Deposit or Fees shall be payable by IHG. If for any reason the Event is postponed, cancelled or abandoned (whether wholly or in part and whether or not due to Force Majeure Event) any refunds of the Deposit or Fees (if any) shall be limited to refunds that may be received from the applicable Venue and/or Promoter, less any administration fees that IHG may incur. It is recommended that the Booking Client takes out its own insurance to cover such risks. IHG may cancel an Agreement, including any Hospitality Package if: the Booking Client is in material breach of the Agreement (including any late payment) and the breach, if capable of remedy, has not been remedied within the time required, as specified by IHG; or the Booking Client (i) is unable to pay its debts as they fall due; (ii) passes a resolution for winding up (other than for the purposes of a solvent amalgamation or reconstruction) or if a court of competent jurisdiction makes an order to that effect; (iii) enters into a composition or scheme of arrangement with its creditors or if a receiver, manager, administrator or administrative receiver is appointed over any of its assets; (iv) ceases or threatens to cease to do business; or (v) an analogous event occurs to the other party in any jurisdiction. Cancellation pursuant to clause 5.4 shall (i) not entitle the Booking Client to any refund (in whole or part); and (ii) if any portion of the Deposit and/or the Fees have not been paid, these shall become immediately due and payable in full by the Booking Client. For the avoidance of doubt, cancellation of any Ticket shall automatically cancel any Hospitality Package related to that Ticket and any refund (if any) shall only be paid in accordance with these Terms. Where the Hospitality Package is sold under a consumer transaction (as defined by the Consumer Protection from Unfair Trading Regulations 2008) the statutory rights of the Booking Client are not affected by these Terms.

Warranties

The Booking Client warrants and undertakes to Informa Hospitality Group (IHG) that:

  1. It possesses full power and authority to enter into the agreement with IHG.

  2. It shall comply (and shall procure the compliance of its Guests) with the Venue and Event operator’s rules and regulations (available on request). The Booking Client will ensure the proper conduct of its Guests at the event and shall procure that its Guests comply with all dress codes as required by the Venue. The Booking Client shall be liable for all acts and omissions of its Guests.

  3. It shall purchase the Hospitality Package for use by itself and its Guests and shall not resell, exchange, or transfer the package to any third party without the prior written agreement of IHG.

  4. It shall not use the Hospitality Package or any part of it in connection with any competition, prize, marketing, or promotional activity without the prior written agreement of IHG.

  5. In carrying on its business, it abides by all relevant and applicable laws and regulations, including but not limited to: a. The Bribery Act 2010 and all other applicable laws, regulations, codes, and sanctions relating to anti-bribery and anti-corruption. b. The Modern Slavery Act 2015 and all other applicable laws, regulations, codes, and sanctions relating to anti-slavery and human trafficking. c. Any trade, export controls, economic or financial sanctions laws, regulations, embargoes, or restrictive measures administered, enacted, or enforced by the Security Council of the United Nations; the European Union; the United Kingdom (including the Department for Business, Innovation and Skills and Her Majesty’s Treasury) and/or by the authorities of the state(s) in which the party is registered, established, or in which it otherwise conducts activities. d. Neither the Booking Client, nor any controlled or controlling person nor official of the Booking Client, is subject to any sanctions or will receive any significant benefit in money or otherwise from the work being done by IHG. e. It shall not engage in any conduct likely to adversely affect its or IHG’s good name, reputation, or public image. f. It has in place systems for preventing, auditing, and investigating fraudulent, corrupt, or illegal activities, security breaches, or similar situations and is not aware of any such situation currently existing.

  6. Breach of any of the warranties in this clause shall entitle IHG to terminate its contract with the Booking Client by written notice with immediate effect, and no refunds shall be payable.

  7. Unless otherwise expressly provided for in these Terms, and except where the Hospitality Package is sold to a person dealing as a consumer (within the meaning of the Consumer Rights Act 2015), all warranties, conditions, or other terms implied by statute or common law are excluded to the fullest extent permitted by law.

Limitation of Liability

IHG shall not be liable for any loss, death, injury, or damage howsoever caused to any person or property, except where such loss, death, injury, or damage is a result of the negligent acts or omissions of IHG. IHG shall not be liable under any circumstances to the Booking Client for any indirect or consequential loss, including: (i) loss of revenue or profits; (ii) loss of business; (iii) loss of opportunity (iv) loss of goodwill; (v) loss of reputation; or (vi) loss of, damage to, or corruption of data. Except as stated in clause 7.1, IHG’s total liability to the Booking Client shall not exceed the total payment made by the Booking Client up to the point at which the liability was incurred. The Booking Client acknowledges that it is responsible for any Guests of the Booking Client, and IHG shall not assume any liability for any loss, injury (including death) or damage (i) caused by the Guests or (ii) to the Guests or their property unless the same arises as a result of IHG’s negligence. No liability is accepted by IHG in the event that the Booking Client and/or any Guest is denied entry to, or rejected entry from, any part of the Venue or hospitality facilities within the vicinity of the Venue as a result of the Booking Client’s or any Guest’s failure to comply with the terms of this Agreement or any Promoter, Venue, or Event Specific Ticket Terms. The Booking Client shall be responsible for and reimburse IHG for any loss, damage, costs, and expenses that the Booking Client or its Guests cause, whether within the hospitality facilities or elsewhere within the Venue. In the event that the Booking Client or its Guests cause such damage or loss, IHG shall be entitled to invoice the Booking Client, and the Booking Client shall pay such invoice within 7 days of the invoice being sent to the Booking Client. If the Booking Client collects the Tickets in person from IHG, risk in the Tickets shall pass when the Booking Client collects the Tickets. Where Tickets are to be posted, risk shall pass when a third-party carrier collects the Tickets from IHG. Once risk has passed from IHG, IHG shall not be liable to the Booking Client except as expressly stated in these Terms.

Data Protection

IHG will process the Booking Client’s personal data and the personal data of the Guests in accordance with IHG’s Privacy Policy.

General

Entire Agreement

These Terms constitute the entire agreement between IHG and the Booking Client, superseding all prior proposals, assurances, agreements, understandings, or arrangements, whether oral or written, related to the specific bookings. The Booking Client acknowledges that they do not rely on any statement, assurance, or understanding not set out herein.

Waiver and Severability

If any part of these Terms proves ineffective or unenforceable, the validity of the remaining Terms shall not be affected. No delay or omission by IHG in exercising any right, power, or remedy shall impair such right, power, or remedy, nor operate as a waiver thereof.

Headings

The headings in these Terms are inserted for convenience and shall not affect their construction.

Force Majeure Event

IHG shall not be liable for any delay or failure in performing its obligations if caused by a Force Majeure Event.

Assignment

The Agreement is personal to the Booking Client, and the Booking Client shall not assign or transfer its rights or sub-contract its obligations under the Agreement. IHG has the right to assign or sub-contract its rights, benefits, and interests in or under the Agreement to third parties.

No Partnership

Nothing in the Agreement or these Terms constitutes a partnership or joint venture between IHG and the Booking Client, nor authorizes either party to enter into contractual relationships or incur obligations on behalf of the other.

Third Party

Any person not a party to these Terms (other than the Venue or the Promoter) has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any Terms or the Agreement.

Terms of Business

IHG reserves the right to change these Terms at any time without prior notice. Revised terms will be posted on the website immediately. Terms updated on March 10, 2020. For Hospitality Packages confirmed before March 10, 2020, contact IHG for information on previous versions.

Disputes

In case of a dispute regarding the sale of a Hospitality Package, IHG and the Booking Client will use reasonable endeavors to consult or negotiate in good faith to reach a just and equitable settlement.

Governing Law and Jurisdiction

These Terms are governed by and interpreted in accordance with the laws of England, and both IHG and the Booking Client submit to the jurisdiction of the English courts.

Definitions and Interpretation

Agreement: Refers to these Terms, along with any booking confirmation and/or invoice.

Booking Form: The order form issued to and signed by the Booking Client.

Deposit: Any deposit payable by the Booking Client as set out on a Booking Form.

Event: An entertainment event held at a Venue for which IHG has the rights to sell Hospitality Packages.

Fees: The price to be paid for the Hospitality Packages, less any Deposit.

Force Majeure Event: Acts beyond IHG’s reasonable control.

Guests: Any guest invited to the Event by the Booking Client.

Hospitality Package: The package purchased by the Booking Client, including ground admission tickets to the Event and food/beverages.

Promoter: The person, firm, or company staging/organizing the Event.

Event Specific Ticket Terms: Specific terms applicable to Tickets for an Event made available by IHG or on request.

Tickets: The tickets, badges, passes, or other documentation purchased by the Booking Client as part of the Hospitality Package.

Venue: The premises where the Event is to take place.

Additional Notes:

References to a person include individuals, body corporates, partnerships, and unincorporated associations of persons.

References to a party to this Agreement include successors or assigns of that party.

IHG operates as the group business, and its rights and obligations as a party to the agreement are identified as IHG Corporate Hospitality.
